I wrote to the embattled chairman and trougher in chief at Union Jack Oil (UJO) yesterday and oddly enough the despicable David Bramhill has yet to reply. Perhaps he is busy pushing Reabold Resources (RBD) to update us all on the number of votes now pledged to reject the crap offer via Letters of Intent. I know that, again, Reabold is sitting on letters and so the total is now greater than 19% of the equity. I have today written about the EGM and AGM putting him and his lawyers on notice

Ut is quite clear that David Bramhill breached the Companies Act 2006 in adjourning the AGM of Union Jack Oil (UJO) to thwart shareholders whom Union Jack now admits wanted to vote him and his gang off the board. This may allow Bramhill to bully his shareholders into accepting a duff offer from Reabold Resources (RBD) as he will control what they are told. I am afraid that I do not expect the FCA or AIM Regulation to address what appears a criminal act and a clear denial of shareholder democracy, but I want it on record that they were alerted and did nothing.

I have dropped a note to Sachin Oza, the CEO of Reabold Resources (RBD) with a series of questions regarding his company’s all paper bid for Union Jack Oil (UJO) in light of matters happening today

Nobody should be above the law and David Bramhill of Union Jack Oil (UJO), in my view, breached the Companies Act 2006 for personal gain. U maybe wrong but it is right that he be investigated. I have therefore reported him to folks I have worked with before on another matter at the fraud Unit at the City of London Police asking them to investigate whether a crime has been committed. The formal letter is below.

The situation at Union Jack Oil (UJO) is now just ludicrous. Shareholder cash is being spaffed at a rate of at least £5,000 on a day on a n all paper bid from Reabold (RBD) that cannot succeed. Just do the maths.

The company in question is, of course, Union Jack Oil (UJO) run by trougher David Bramhill who broke the Companies Act 2006 to keep his job by adjourning the AGM last Friday. The recommended, albeit doomed to fail, offer by Reabold Resources (RBD) now begs the question of whether it is the Nomad SP Angel or the auditor Crowe LLP that has allowed dangerously misleading statements to be issued. I have written a letter to my good pals at the Financial Reporting Council and my not so good non pals, the Oxymorons at AIM Regulation, suggesting that they jointly establish which advisor has acted with a bent management team to mislead investors.

To secure a £220,000 ( pre-tax) payoff for himself, Companies Act 2006 breaking, trougher David Bramhill is recommending that shareholders in Union Jack Oil (UJO) accept an all paper offer from a company whose last accounts came with a material uncertainty warning. This is madness on stilts and if there were any independent NEDs at Union Jack ( there is now just one who is a paid poodle, Zac Philips) the bid would have been rejected at once. Reabold needs 75% of those voting to accept.

As each day goes by the case for replacing almost all of the board at Optibiotix (OPTI) grows louder and louder. It is incompetent, mendacious and overpaid. CEO Steve O’Hara remains adamant that they are all doing a great job but here is another shocker. I have written to my good pals at the Financial Reporting Council about new “crimes” picked up by reader M

AIM Cesspit listed City of London (CIN) is surely a sinking ship. If Nomad Peel Hunt had a shred of integrity it would surely quit now on news that a third director has quit in six days leaving just one rat on board - chairman Paul Milner. The shares are off by 24% today to 3p but fair value ahead of suspension, administration or both is surely 0p. The Company is now in Breach of the Companies Act 2006, S154(2)which requires a public company to have at least two directors. Do hapless Nomad Peel Hunt or the oxymorons at AIM Regulation care about companies breaking the law? It appears not.
