Chris Cleverley founded shitco Technology Minerals – proposed hugely dilutive fundraise but how likely is the raise to occur?

In its last results for the six months to 31 December 2025 Technology Minerals (TM1) showed a loss of £1,585,000 and had period end net liabilities of £1,988,000, demonstrating that it desperately needed refinancing.  Yesterday Technology announced an “Expanded Strategy, Proposed Fundraise and Directorate Changes”.  Uh oh – confetti ahoy.

Well quelle bloody surprsie. Only a complete cretin would think that with almost ten million quid of debt and burning cash, Recylcus is worth 30 million quid. And so it is no surprsie that, as you can see below, its crowdfunding exercise on crowdcube is a total disaster.  Given that its parent company, Technology Minerals (TM1) is also running on vapours things look grim indeed. Folks cannot say that they were not repeatedly warned but as ever some - such as Comrade Swann -knew better than old TW.

Technology Minerals – Recyclus admits that its Crowdcube prospectus is wrong, isn’t that fraud?

I showed yesterday that Crowdcube was breaking its own FCA ordained rules in raising money for technically insolvent Recyclus, the 48% owned subsidiary of technically insolvent Technology Minerals (TM1). Another ouzo day: Technology Minerals forced to correct Recyclus accounting treatment by Financial Reporting Council after my complaint

Back on 27 March 2024, when Technology Minerals (TM1) issued its accounts for the six months ended 31 December 2023, I wrote an article setting out why I considered that Technology Minerals should consolidate Recyclus Technology as opposed to treating it as an associate. The impact of the consolidation treatment would be to significantly increase reported losses and reduce the net assets of Technology Minerals. In its accounts for the year ended 30 June 2024 highlighted that the FRC was on the case as I reported in my article of 11 December 2024.

I have written to Joseph Archer the bean counter at PKF Littlejohn who signed oiff on the June 30 2023 accounts from Recyclus Limited about the missing and way overdue accounts for last year. Recyclus owes Technology Minerals (TM1) £9 million and is 48% owned by Technology. I suggest that both companies are technically insolvent and with Recyclus trying to do an EIS fund raise, Archer should be alerting investors.
