Chill Brands: is anyone actually reading the prospectus?

I am a bit of a Chill Brands (CHLL) groupie and have been ever since it was Zoetic (ZOE). That does not make me a fan. I published a massive bear dossier when the shares were 76p and, despite my colleagues, a friend and me facing active harassment from a paid thug, have been bearish ever since. The shares are now 3.45p. Yesterday afternoon something really weird happened.

Massive Vindication for Tom Winnifrith No 2 - Chill Brands forces to restate results by FRC after TW intervention, letter in full

When I started exposing the fraud at Zoetic, now Chill Brands (CHLL) the shares were 76p. They are now 2.4p and, FWIW, running out of cash again so a sell. The other side fought hard. Seth Freedman – who had harassed Harvey Weinstein’s victims for Harvey - was engaged by a shareholder to threaten, menace and harass me and also two other writers here and a PR girl who is known to be a friend of mine. Shame on Freedman and those who defend him like Evil Knievil. I was not bullied into silence and so, after the massive Worthington vindication earlier, here is another one a, a letter from the Financial Reporting Council.I complained to it about Chill’s accounts. Hey presto, the FRC took action and – as you can see below – forced Chill to restate.

A one year tweet which has aged so very badly - meet Chill Brands shareholder Stocks Gazer, he is a moron

A year ago shares in Chill Brands (CHLL)  the fraud then known as Zoetic (ZOE) were 76p as I published a 60 red flags dossier. Here is how one moron responded – natch by abusing me. The shares are now 9p. I guess this tweet has not aged terribly well. Meet Stocks Gazer. He is a moron.

WARNING: Chill Brands – a year and a day to lose just under 90%, the next 90% will be lost far more quickly

Do you remember all the abuse that this site and I got when publishing the 60 red flags dossier on Chill Brands (CHLL), Zoetic as was, exactly one year and one day ago? I was part of a short selling cabal, the FCA would have my testicles roasted on a fire by the weekend, I did not know what I was talking about, etc, etc, etc. The shares were them 76p mid. Today they are 7.625p mid. – a near as damn it 90% fall. The next 90% fall will be far quicker and it could be far greater.

Expose: The King ramping rat, lying, rule breaking John Story starts to abandon the sinking Chill Brands ship

When shares in the fraud Chill Brands (CHLL) surged towards a quid, spiv John Story told folks they were going much higher. He gave ramptastic interviews where he told lies about the company then known as Zoetic (ZOE).  He ostentatiously bought a few more shares. He engaged with the man who helped Harvey Weinstein to silence his victims to harass and troll myself, Gary Newman, Peter Brailey and others to try and scare us away from exposing this con.  But now with the shares barely into double figures Story is bailing. And here’s why.

Chill Brands - delayed annual report reader poll

Shares in the fraud Chill Brands (CHLL), formerly the fraud Zoetic (ZOE), are falling again and now trade at a new year low of 24.75p to sell. With suspension possible as soon as Friday, with almost no sales now in the US and with the market cap still a bonkers £53.3 million, of course, anyone with half a brain cell should sell.  But then nobody with half a brain cell would own the shares in the first place. The big question is when will the long delayed annual report arrive? What do you think. Vote below:

Chill Brands – the horror at 6.25PM on the last day of the month

Perhaps the incredibly dim, journalist-smearing, PR man Henry Harrison Topham advised his clients that sneaking out one of the worst results statements I have ever seen at 6.25 PM on the last day of the month on which it was promised would mean that nobody noticed.  There is a reason why, despite all those expensive Harrow fees, Henry only managed to gain acceptance at Northumbria University when it was still Newcastle Polytechnic. For the sneaking out of what is an abomination only attracts attention to how bad this all is for Chill Brands (CHLL), the fraud formerly known as Zoetic (ZOE).

Shock poll result – readers back Tom Winnifrith’s chances with Cheryl Cole – Chill Brands Results date Poll

I know that some of you are sceptical about my chances of getting lucky with Britain’s leading chanteuse but it seems that many of you think that my chances are improving. I refer you to the poll I ran last night on when Chill Brands (CHLL), formerly the fraud known as Zoetic (ZOE) would finally publish its results. The top answer…

Chill Brands – Delayed Results poll

Chill Brands (CHLL) , the fraud formerly known as Zoetic (ZOE) blames covid for delaying its results which, in May, it said would be out in July until August. We all know the reason is its battle to persuade the auditors that it has enough cash to survive for 12 months. Which it does not.  Anyhow we are now almost at the end of August and good news travels fast but bad news is always delayed so where are the results which are bound to be truly absymal? When do you think Chill will sneak out the bad news?

Canadian and Aquis listed Yooma (YOOM) has today bought the leading British CBD brand Vitality for, depending how you look at it, £8 million  or £10.2 million. The read across for the valuation of Chill Brands (CHLL), the fraud formerly known as Zoetic is a disaster.

Tom Winnifrith Bearcast: feeling a real sense of national shame and deep sadness over Afghanistan... and also less safe

I start with this non financial matter as although the Mrs regards these as tragic events in a land far far away, I think of the pointless British deaths, of the increased terror risk back home, of the shameful way we are abandoning those who helped us of the shameful way we turned a blind eye to Industrial scale corruption. What is happening in Afghanistan is not only terribly sad for its people but it is also a national shame. Then I look at a pointless name change at Zoetic (ZOE) and of the spoof US OTC listing announced by Dispersion (DEFI) something that is itself a red flag.

Tom Winnifrith Bearcast: I disagree with Luke Johnson

I fly back to Wales tomorrow so have wasted too much of my life filling in moronic covid related forms today. I cannot say that i am happy to be heading back. I start with Luke Johnson’s warning on WFH and I rather think that on some points I disagree with my friend. Then onto UK regulation and its failings ref today’s two articles on Vast Resources (VAST) and the bombshell on the Zoetic (ZOE) fraud.

BREAKING: The fraud Zoetic is again caught selling illegal products in the USA

I can reveal that despite covering up industrial scale breaches of FDA Regulations after I published the damning 60 red flag dossier, the fraudsters at Zoetic (ZOE) continue to breach FDA guidelines as they try, and fail, to sell material quantities of CBD products via AATAC. I have alerted the FDA to this rule breach and wonder how AATAC will respond if it gets roped into any investigation? I shall also be contacting it this week.

Tom Winnifrith Bearcast: Another Massive Zoetic expose tomorrow, the UK covid test scam & why I want Iconic to go bust

I start with the covid tests, the Mrs and I having just taken one for 50 euros each here in Greece. sadly we both passed so will head back to Wales on Monday where our test, in Wales, will cost more than 100 Euro. I explain why we in the UK are being so utterly scammed for these pointless tests as I start a three part series on my own site on covid lunacy in this part of Greece HERE. Then I flag up a good bit of what is in tomorrow’s new shocking Zoetic (ZOE) dossier which will again place the company in the threat of severe US regulatory peril even after it covered up all the breaches I exposed last time! Finally, I discuss Iconic (ICON) and why i want it to go bust - it is the only way that a member of the Tory chumocracy – toxic David Sefton – will get his just desserts.

I start with a few more words on why I hate the Greek seaside which the Mrs forces me to go to and which has put me in a foul mood as a result. It always does as I noted a few weeks ago. I then look at the ramptastic disaster that is Helium One (HE1) and then, mentioning today’s Pello expose, I go onto a detailed analysis of the position at the fraud Zoetic and why the shares, now down to 39.25p, are heading to between 0p and 5p.

Zoetic & its covid excuse that bears no scrutiny

The fraud Zoetic (ZOE) said, on 17 May 2021, that its results for the year to 31 March 2021 would be out in July (2021). But instead of delivering its numbers, it served up trading statements on July 1 and July 29 and last night said that covid had caused delays and the results would be out in August. That is both a lie and an admission of a rule breach.

Tom Winnifrith Bearcast: Pure unadulterated bull from the Zoetic fraud

While I was recording bearcast Zoetic (ZOE) announced that since promising results in July on May 17 – by when it would already have done much of the audit work – it had discovered all about covid so would not now be releasing, what will be piss poor, results (for the year to March 31 2021) until this month. Good news travels fast, bad news is delayed. The real reason for the delay is explained in this podcast. I also cover discussions with the regulators on UK Oil & Gas (UKOG), Supply@ME Capital (SYME), the John Story episode and getting the shyster resigned from Escape Hunt (ESC). I speculate on what he did next. And there is a final appeal for Ian Westbrook. Do not let the loathsome pig Neill Ricketts win by default please donate HERE

Tom Winnifrith Bearcast - so what is wrong with being a proven liar and a director of an AIM Company?

First up thanks for all the tenners for Ian Westbrook. We still have two days to hit the £20,000 make loathsome Neill Ricketts sweat target and are now on £14,694. We are still talking to two potentially generous donors so please do keep the tenners flowing HERE to stop the Versarien (VRS) penny share huckster winning by default. Then onto lying on AIM and also covering up bad news with late releases. I look at Supply@ME Capital (SYME), Verditek (VDTK), Powerhouse Energy (PHE), Cellular Goods (CBX), Escape Hunt (ESC) and, of course, the fraud Zoetic (ZOE). The stench of chumocracy corruption is tife in the City as liars go unpunished. It is most depressing.

I then look at Babcock (BAB), Boatman Capital and the corrupt deadwood press, Minoan (MIN), the fraud Zoetic (ZOE) and its missing results, Kefi (KEFI), Supply@ME Capital (SYME) and the missing shares and then at MyHealthChecked (MHC) where I expect the shares to zoom within weeks but which is causing me to spit nails.

The Fraud Zoetic – letter to FCA over two more rule breaches

The FCA should have thrown the book at Standard Listed Zoetic (ZOE) when – with the shares at 76p on February 3 2021 – I passed it this damning dossier. It did not and Zoetic and its bent band of advisers, led by the journalist smearing mother Henry Harrison Topham of Buchanan,  have taken this inaction as a cue to breach the disclosure rules in the most blatant way knowing that the FCA are toothless woke dullards. With the shares at just 43p to sell (and 43p overvalued) I have written to the FCA asking that it act on the latest rule breaches with, at the very least, a public censure.

Tom Winnifrith Bearcast: MyHealthChecked & Zoetic again, on the latter big questions raised

On MyHeathChecked (MHC) I tidy up all the loose ends from yesterday’s options storm and i am confident that the greedy management have behaved in this way as the shares will head higher. On the fraud Zoetic (ZOE) I discuss the purchase of the domain name Chill.com and all the questions that throws up. I do know a bit about buying domain names and this is not what it seems. Then I cover the 2 questions that its financial adviser, Nick Harriss at Allenby and its scumbag PR Henry Harrison Topham will not respond to and which i will be taking up with the FCA tomorrow. It strikes me these are slam dunk rule breaches.  Nick, at least, used to care about such matters.

In it I cover: the fraud Supply@ME capital (SYME), the Zoetic (ZOE) fraud, the utter shocker at Live Company (LVCG), where Fatty  covers himself in shame, Sarah Willingham’s Nightcap (NGHT), a gotcha! for me but more smoke and mirrors and valuation anomalies from Ms W and finally Braveheart Investment Management (BRH). In the excitement I forgot to mention uber dog Bidstack (BIDS) which is now down to its last seven weeks cash and where a bailout placing must be imminent. If you enjoyed today’s show, how about backing the Rogue Bloggers HERE?

Tom Winnifrith thanked by regulator yet again for alerting it to force company to restate accounts big time

To those like market abusing foul mouthed troll and penny share huckster Chris Akers who calls me a TWat or to the legions of Bulletin Board morons owning shares in frauds such as Zoetic (ZOE), Supply@ME Capital (SYME), etc who insist that I am a complete joke who can be ignored as they know better, this is for you. Yet again the Financial Reporting Council, the FRC, has taken direct action against a listed company because I alerted it to wrong doing – in this case it is St James House (SJH). Yet again it writes to thank me. Folks that count take the Sheriff of AIM seriously, foul mouthed penny share hucksters and morons you are deluding yourselves.

Tom Winnifrith Bearcast: The Fecking Welsh!

Not all of them. Certainly not daughter Olaf. But at least one of them has ruined my day and made me livid.  Elsewhere I discuss Hurricane Energy (HUR), ADVFN (AFN), the fraud Zoetic (ZOE) and Westminster Group (WSG) and the curse of Tony Baldry of 3DM infamy. Ahead of another weekend training walk please be generous and donate HERE – £99 short of the one third mark!

The trials of John Story – is he the forced seller at Asimilar?

The shock suspension of All Active Asset (AAA), the plaything of foul mouthed troll and penny share huckster Chris Akers, was especially painful for one shareholder – the proven liar John Story as he faced big margin calls in the fraud Zoetic (ZOE). How to meet those margin calls? Well I have established that he is on a lock in at Cellular Goods (CBX) with his 15 million shares. Has he stuck to that lock in? Enquiries continue. If he has sold even one share then he needs to issue a TR1 as he is on 3% and that would be a bit embarrassing given the lock in.

Leverage can hurt bulls as well as bears – watch Zoetic collapsing

Given that it has lied on an industrial scale to investors, regulators and consumers and managed first half sales of just £54,000, I think it will not surprise anyone terribly that I view the fair value of shares in Zoetic International (ZOE) as 0p. But I published all the evidence of the malfeasance and parlous financials and the shares still headed to well over 100p valuing this company at more than £200 million. That was two months ago. Now they are 57p to sell and falling fast. If you can short you should do so as this should be a penny stock really very soon.

I end with the usual appeal – go on, we are almost a third of the way there please make a donation to Rogue Bloggers for Woodlarks now HERE. I start with MyHealthChecked (MHC) and the fraud Zoetic (ZOE). But the main focus is on beer and popcorn time at ADVFN (AFN). Will King Clem Chambers be ousted by Israeli brainbox Yair Tauman, an expert in Game Theory? I discuss and what it all means for ADVFN

Tom Winnifrith Bearcast: is John Story of Zoetic infamy facing a margin call and cash crisis?

I won’t bother asking poor John but maybe someone with a bit more cash can chip in £313 and get the Rogue Bloggers for Woodlarks over £15,000 - HERE In today’s podcast I discuss TrakM8 (TRAK)  – as non transparent as ever -  the scandal at All Active Asset Capital (AAA), I exposed HERE, and finally the fraud Zoetic (ZOE), the extent of leverage in its shares and the rumours swirling around concerning its big shareholder, the liar John Story.

Is 4.3p as a target for the Zoetic fraud too high? Green Roads deal suggests 0.5p is more accurate

To be fair I never said that my target for this fraud was 4.3p, I just explained how, if you made wildly optimistic assumptions about current year sales then on a read across from Love Hemp 4.3p was fair value. I actually think 0p is fairer as Zoetic International (ZOE) is a fraud which will eventually run out of other people’s money. But a corporate deal in the US suggests yesterday that, maybe, fair value is 0.5p.

Tom Winnifrith Bearcast: 3 stockmarket disgraces and Bob Monkhouse and the funniest joke ever

Talking of disgraces, 96% of listeners have yet to donate to Rogue Bloggers for Woodlarks, please do so today HERE. I have a message from Nick Richards for the 4% who have been generous. The stockmarket disgraces I cover are the fraud Zoetic (ZOE), Anemoi (AMOI) and Abingdon Heath (ABDX) – where there really must be a Steward’s on its Christmas IPO, which I panned at the time. I also look at Scotgold (SGZ) and discuss why Andrew Monk called SUPP/WPCT so badly wrong.

Zoetic: Allenby and Buchanan now complicit in making claims the UK regulator has not authorised. Naughty boys.

Today’s lack of profits/sales warning and associated deceits from the fraud Zoetic International  (ZOE) also made claims about forthcoming UK product launches which surely the UK Regulator will regard as unfounded. I guess Financial Advisor Allenby and PR spinners Buchanan are happy to be party to such rule breaking as they put their names to this release. I guess both have bills to pay so sod actually obeying rules.

Zoetic – how does Financial Nick Harriss of Adviser Allenby put up with such glaring lies?

I have already noted that today’s lack of profits & sales warning, oops I meant to say trading update, crafted by the fraud specialist and all round morally bankrupt upper class twit and journalist smearing arsehole Henry Harrison Topham is a total shocker. But here is another glaring deceit that Nick Harriss of Allenby, a man I thought had principle, seems happy to have signed off on.

Zoetic one hell of a joke trading statement – it is what it does NOT say that should alarm investors

The fraud Zoetic International (ZOE) has released a trading update. Natch, there are lorry loads of jam tomorrow but it is what it does not say that should give investors looking at a £157 million market cap ( at 80p) a real panic attack. The lack of critical data here is the monumental red flag.

---

1111 days ago

Zoetic – this is not significant but it is not bad news: PS How about a trading statement?

Zoetic (ZOE) owning morons are getting terribly excited by news that its products are NOT to be removed from the very few shelves on which they gather dust here in the UK. This is all to do with a tightening of the rules for selling CBD as an ingestible.

Tom Winnifrith Bearcast: the problem Denise Coates poses for me as a libertarian

I do not begrudge her earning £489 million last year but is there a social cost in how she makes her cash? I then look at the stages of the changes in the sentiment cycle with three promotes/frauds: Versarien (VRS), Zoetic (ZOE) and Supply@ME Capital (SYME). Tomorrow as you stuff your faces with Easter Eggs I plan to walk 15 miles as a Woodlarks trainer, consider my soon to be very sore feet and make a donation HERE.

I know he is a proven liar but now even Zoetic seems to say its biggest shareholder may not be telling the truth

Tom Winnifrith Bearcast: Buy, sell or hold Centamin

I start with harassment by phone call – 11 in three hours last night, 6 in 30 minutes starting this afternoon. It is not going to stop me writing about Zoetic (ZOE) and other frauds! Then onto a reader’s idea that £5.99 gets to tell me what NOT to write. Then onto Woodlarks. I did my first serious training walk yesterday which I’ll write up later but we now have FIVE walkers lined up for May 29 and Woodlarks desperately needs cash so please donate HERE. Finally a look at Centamin (CEY), not my greatest investment. But where now?

Tom Winnifrith Bearcast - so could Neil Woodford take down Hargreaves Lansdowne after all?

I think last night saw more phone harassment but maybe it was just pocket calls. Anyhow, I have spent some time chatting to North Wales Police about comrade Seth Freedman and the Zoetic (ZOE) inspired menacing phone calls of last month. They are taking it seriously. In the podcast, I discuss this plus the news that Hargreaves (HL) may be sued over Neil Woodford and the myth that there is a short position in small and mid caps to be squeezed.

---

Now the Zoetic numbskulls up the harassment and try to hack the Tom Winnifrith computer via some phishing!

Late night menacing phone calls from hired bully Seth were spurred on by Zoetic (ZOE) shareholders. There is the online trolling. New twitter accounts sent up to impersonate me and spit out bile just at me crop up weekly. I can’t remember if it was this lot who posted death threats or Supply@ME Capital (SYME) owning morons. One act of harassment blurs into another when you expose frauds. Last night I got a strange email which is below..

Tom Winnifrith Bearcast: We are under a DOS attack @ShareProphets and a Zoetic owning moron claims credit

s the Zoetic (ZOE) owning moron really responsible. Clearly he does not believe in a free press, hates me and boasts of it. But we are under a massive attack which is a bit of a distraction. A lesson for morons owning Zoetic, Supply@ME Capital etc - a tweet that did not last well from 2013

Folks owning shares in frauds or Bulletin Board Morons always, for a time, crow at the stupidity of ShareProphets as such stocks, like shooting stars, can rocket before the final collapse. Natch shareholders do not see this. They are convinced that ShareProphets and its writers are shorting, which we are not and that temporary share price strength is a sign that they are right. Here, for such folks, is a tweet from a moron called Spencer Freeman who used to plague me seven or eight years ago.

Tom Winnifrith Bearcast - lying really does matter

In today’s bearcast I look at Zoetic (ZOE) and why its monster lie from April Fool’s day 2019 does matter, even as Seth Freedman, at the behest of a Zoetic shareholder, harasses another one of our writers at 11 PM. I also look at Peter Brailey’s call on oil, why I agree and how to play it.

---

1145 days ago

Was this an April Fool’s day MONSTER lie from Zoetic or what? Or doesn’t anyone care any more?

Tom Winnifrith Bearcast: Wildcat a lesson from 2001, one of its directors should need no reminding of

There was a lot of excitement today at the Welsh Hovel with moving compost pits. More on that gripping subject later. The Zoetic pest Seth Freedman now harasses Peter Brailey and myself again – Police brought in

You will recall how Seth Freedman harassed and insulted me over the course of 16 phone calls on 24 February. He said it was investors in the fraud Zoetic (ZOE) who had prompted him to contact me and that he would take pleasure in defaming me. Another Zoetic expose appeared here yesterday and like a puppet on a string, Seth is at it again, this time harassing Peter Brailey as well.

Tom Winnifrith Bearcast: 4 valuations that are utterly bonkers, one where the FCA must open a new enquiry

I start with the Poulden/Lenigas/Peterhouse/Mir ramp Upper Thames (UPPT). Then it is onto Ridgecrest (RDGC) where I go through the exact timeline of events and all the issues which the FCA should examine in a formal enquiry. Then I have new questions for Zoetic (ZOE) and its loathsome PR Mr Henry Halfwitted-TopHat, formerly the PR of choice to Chinese fraudsters on AIM, about District 8, the RTO and what actually happened and finally comment on the weekend analysis of Versarien (VRS). Both it and Zoetic are shares where my target remains 0p.

Zoetic not there but here are the 974 where IG will, as of Friday demand 100% margin

Apologies for suggesting that the fraud Zoetic (ZOE) is on the list. It is not. But 974 companies are and are listed below. With bears now an officially endangered species this is going to largely effect bulls. We do not know how big a percent of the equity of the stocks below is owned on margin. In many cases it will be tiny. But in others it will be material and the forced closing of positions in these stocks could have knock on effects throughout the small cap world. Punter x meets his enlarged margin call in one stock by banking gains and selling elsewhere. I do not know how big the ripples will be but I sense it will cause some pain in some quarters. The list is below.

The FDA gets back to me on Zoetic, perhaps it should chip into the FCA enquiries

The Badger Trust joins the trolls organising a Tom Winnifrith Pile on but is regretting it - Part 1

I do not hide my view of badgers. If you are reading this in some big city, you probably think of them as loveable fury little creatures just like Foxy Woxy. I view them as aggressive vermin just like Foxy Woxy. Badgers eat hedgehogs, animals I rather like. They dig up the graveyard at the end of my fields where one day I shall be buried. They are not after the bodies, just the worms, and that also sees them digging up my lawn and those of all my neighbours. They have a go at my strawberry patch which is adjacent to their sett here at the Welsh Hovel. I loathe badgers.

This is for Cliff weight of ShareSoc. I discuss incidents in my life on Fleet Street showing the corrupt nexus between financial PRs and the press in action. I hope you all find it amusing as informative and relates to this fight I got into earlier today. Then it is onto Brokerman Dan who is a visionary analyst of health stocks, notably MyHealthChecked (MHC) as PL and I are agreed. Tom Winnifrith Bearcast: giving as good as I get to Craig from the Badger Trust

Craig has been stirred up by the trolls who harass me and my family and has now repeated the defamatory remark that I am encouraging others to harm the frightful pests. The Crime Officer at the Badger Trust is now also demanding that I rewrite articles though I have committed no crime. He is not apologising for making up false allegations about what I wrote.  He is picking on the wrong man on behalf of morons who own shares in Zoetic (ZOE) and Supply@ME Capital (SYME). Does the Badger Trust really think that harassing a journalist whose only “crime” is exposing fraud, at the instigation of those supporting those frauds, is a good thing to do? I discuss both companies and the failings of Standard Listings with regards to frauds which they demonstrate in spades. I also look at house prices in London and here in the boonies.

I discuss these companies as well as the Peterhouse play, Spinnaker Opportunies (SPO). If that opportunity knocks, I’ll pass. Tomorrow, I shall publish my correspondence with the FDA in America which has the power to shut down the entire business of Zoetic (ZOE) for its serial rule breaches. But for today I stay in dear old Blighty. I published the dossier showing the lies and law breaking of Zoetic (ZOE) on Wednesday and naturally, being a fine upstanding, badger hating, member of the financial community, ensured that the FCA saw the entire document. Thank you Brokerman Dan for supportive words, you are always welcome at the Welsh Hovel and indeed my son often asks when you are coming again. I apologise to Zoetic now it should apologise for deceiving investors

In a recent bearcast I termed Zoetic (ZOE) a cannabis stock. The company says that this is wrong it is a hemp stock. I am happy to apologise although my thesis of a company late to jump into a bursting bubble and with cashflow issues that require an urgent equity raise is unchanged. But I’m sorry for my sloppy use of language which just shows how long ago it was that I did any first hand personal research into this matter. Now to the apology Zoetic needs to issue.
